Dan Wake’s practice has focused on business litigation and dispute resolution since 1981, with emphasis on securities, corporate governance (including partnership and LLC disputes), mergers and acquisitions, officer and director claims, financial institutions and commercial contracts in a wide variety of settings. Among other fields of commercial contracts, Dan Wake has particular experience representing firms that implement multi-million dollar ERP software systems (such as Oracle and SAP) and related large IT systems. His securities litigation experience includes Ponzi schemes, class action litigation on behalf of plaintiffs and defendants, FINRA arbitrations, 10b-5 and common law fraud claims. Mr. Wake has represented persons and entities in control disputes, ranging in size from hedge funds in proxy contests for control of publicly traded companies to individuals involved in private partnership or LLC disputes. Dan Wake has provided expert testimony and has counseled business entities as a non-advocate in litigation matters by providing independent legal counsel in conflict situations and as counsel to special litigation committees. Dan Wake has argued appeals before the United States Court of Appeals for the Tenth Circuit, the United States Court of Appeals for the Ninth Circuit, the Delaware Supreme Court and the Colorado Court of Appeals. Before moving to Denver in 1988, Daniel Wake was a staff attorney in the Office of the General Counsel of the Securities and Exchange Commission in Washington, D.C.
