Profile

Ms. Banas counsels businesses and organizations in a wide variety of transactions. She has represented  real estate companies in the development of shopping centers, office and  industrial properties, health care facilities (medical office and surgi-centers), affordable multifamily rental properties, condominiums, assisted and senior living properties,  and mixed use facilities in city centers. These projects frequently  involved public-private partnership components, complex organizational and real estate structures and governmental credits and incentives. Her firm recently concluded a major purchase/ loan restructuring/ rehabilitatiion transaction for the owner of an affordable housing project, comprised of both non profit and for profit members, that utilized a combination of funding sources including HUD loan financing, investor equityand low income housing tax credits and governmental and foundation grants. 

She also assists physician groups and health care organizations in organizational, contractual and joint venture transactions

Due to her experience in community redevelopment and health care projects involving non-profit particiapants, she is increasingly called on to assist 501(c)(3) organizations in formation and governance issues, as well as in structuring their particpation in other entities.

A growing area of activity for Banas' firm is representing participants in the wind energy field.  She is currently counseling the developer of the largest wind energy project being constructed for a single user in the Midwest. 

 Ms Banas also assists a wide variety of businesses in general corporate and contract matters, and mergers and acquisitions. She is a recognized authority on legal issues involved in the structuring and capitalization of limited liability companies and other pass-through entities, including the private placement of equity securities.

Prior to forming her current firm in 2009, Ms. Banas was a partner in a large Detroit-based corporate law firm for over 20 years.
