Mr. Lehrer is an experienced corporate and finance attorney specializing in mergers & acquisitions, business finance and corporate governance. Mr. Lehrer has represented both private and publicly traded corporations with respect to mergers and acquisitions, has represented special committee's of public boards, and has been corporate counsel with respect to successful "proxy fights". Further, Mr. Lehrer has represented both minority and majority shareholders with respect to resolution of shareholder disputes. Mr. Lehrer has represented companies with respect to acquiring capital (in the form of equity, senior debt and mezzanine debt) in both the private and publicly traded forum. Mr. Lehrer has also served on a number of Boards of Directors of both public exchange listed and private corporation. Mr. Lehrer is an adjunct professor, teaching a popular course in Business Acquisitions at Washington University School of Law.

Transactions:
- Lead counsel for successful proxy fight for the control of Todd Shipyards Corporation (NYSE: TOD) of Seattle, Washington. Negotiated settlement of the proxy fight and was elected to the Board of Directors (formerly Chairman of the Audit Committee and currently Chairman of the Compensation Committee of the Board). Actively participated in the restructure of management of the Company, resulting to profitability.
- Lead counsel with respect to the sale of Midland Development Group (and numerous affiliated real estate partnerships) to Regency Centers Corp., a publicly traded REIT (NYSE: REG).
- Negotiated the sale of television station KPLR from Koplar Communications to a newly formed publicly traded corporation Acme Television, Inc. (NASD: ACME), with the support of Warner Communications.
- Lead counsel with respect to the "auction", negotiations and consummation of the successful sale of Merchants Group, Inc. (AMEX: MGI) to a privately owned American European Group, Inc.
- Primary counsel representing owner of McCarthy Construction Companies with respect to sale of the company to management and an Employee Stock Ownership Plan.
- Lead Counsel with respect to negotiations and purchase of National Food Stores (a subsidiary of Canadian Corporation Loblaw Companies Limited) by Schnuck Markets, Inc. In that role, actively participated in antitrust issues and the successful negotiations with the Federal Trade Commission and the Missouri State Attorney General. Also have participated as lead counsel with respect to other significant acquisitions by Schnuck Markets, Inc.
- Lead outside transaction counsel in 2007 for $2.3 BB sale of Sequa Corp (NYSE: SQA) to an affiliate of Carlyle Group., 2007
- Lead counsel with respect to the sale, in a series of transactions, of the Adams MarkTM hotel chain. The final transaction of the sale of 4,867 rooms to Chartres Lodging and Goldman Sachs’ Whitehall Street Global Real Estate Fund was awarded “Distressed Deal of the Year” in the M&A Advisor 3rd Annual Turnaround Awards., 2008
- Lead counsel with respect to the price negotiation, structure and documentation of the sale of publicly traded Todd Shipyards Corporation (NYSE: TOD) to Vigor Industrial, including all ancillary securities filings., 2011
