His extensive legal experience includes service as an Honor Program Trial Attorney for the U.S. Department of Justice, as an Assistant U.S. Attorney in the Southern District of New York and Washington, D.C., as an associate with Shearman & Sterling and Cleary Gottlieb Steen & Hamilton, as in-house General Counsel of Kionix, Inc. and Cognitive Science LLC, and as an Adjunct Professor of Law at Cornell Law School.

He regularly handles high-stakes litigations with diverse commercial and highly technical subject matters.

He structures and negotiates a wide range of complex business deals, he has supervised the transfer of companies valued into hundreds of millions of dollars, and he has handled sensitive internal corporate investigations.

Verdicts and Settlements:

  • Most matters are resolved by negotiated resolutions with confidentiality restrictions that prohibit publication here.  Matters not so restricted include the internal review of related party transactions for the Emerson Radio Corp. Audit Committee, avoidance of potential domestic liability for foreign judgments against major client conducting international business from a U.S. base, service as chief IP officer for international patent exchange company, structured and negotiated sales of retail products and services companies, dismissal of successor liability claims and imposition of strict liability limits in complex commercial litigation, verdict against Washington Gas Company for breach of contract (obtained maximum direct damages plus interest plus attorneys fees and litigation costs, totaling over $2 million).

Transactions:

  • Supervised restructuring and/or sale of businesses across New York State with transaction values ranging up to hundreds of millions.  Negotiated and drafted many technology transfers, joint research arrangements, IP licenses, executive employments, vendor and customer terms, and other contracts.  Serve as outside Chief IP Officers for patent exchange company.
