Mark Johansen's practice focuses on complex commercial litigation in state and federal courts. He has also represented clients in arbitration proceedings before the American Arbitration Association and the National Association of Securities Dealers. Mr. Johansen has handled litigation and arbitrations involving contract disputes, business torts, labor/employment, trade secrets, securities/shareholder litigation and professional liability. He has counseled clients in a number of industries including banking, healthcare, insurance, manufacturing, private equity, real estate and technology. Mr. Johansen earned his law degree from the University of Oklahoma and his undergraduate degree from The University of Texas at Austin.

- PROFESSIONAL EXPERIENCE: Defended Dallas-based public company and its Board of Directors in shareholder derivative litigation arising from $1 billion tender offer; defeated three applications for injunctive relief, permitting the tender offer to proceed; defeated $7 million claim for attorneys' fees and forced nuisance value settlement of lead plaintiff's claims. Obtained summary judgment on behalf of a prominent Dallas entrepreneur/business executive in a well-publicized case involving the merger of two publicly-held technology companies in which the plaintiff alleged damages of $1 billion. Obtained unanimous jury verdict for an international equipment manufacturer in a case involving claims of breach of contract and fraud in which the plaintiff alleged damages of $1.3 million. Represented national pharmaceutical company in arbitration proceeding in breach of contract case related to large-scale software implementation and obtained arbitration award in favor of client. Received multi-million dollar arbitration award for a hospital against a Big Four accounting firm in case involving negligent audits that resulted in $30 million overstatement of accounts receivable. Represented Dallas-based private equity firm in lawsuit arising from acquisition of a global insurance/reinsurance brokerage organization and alleged damages of approximately $15 million; obtained favorable settlement for client. Secured a favorable settlement for a bank holding company officer/director in Federal Reserve enforcement proceedings involving claims under Federal Change in Bank Control Act.
